Sebagai seorang manusia,
kita mempunyai keperluan dan kehendak yang ingin dipenuhi atau wajib dipenuhi
bagi meneruskan kelangsungan hidup kita di muka bumi ini. Oleh itu, kita perlu
bekerja. Pekerjaan memberikan pendapatan kepada kita dan dengan pendapatan
itulah kita mendapatkan keperluan seharian kita. Sebagai seorang yang akan
melibatkan diri dalam alam pekerjaan, kita akan diberikan surat tawaran
pekerjaan terlebih dahulu. Surat tersebut mengandungi terma dan syarat yang
berkait rapat dengan pekerjaan tersebut. Sebelum menerima sesuatu pekerjaan,
perlulah kita melihat dengan teliti, terma dan syarat yang ditetapkan oleh
syarikat atau majikan, bagi menjamin manfaat kita sepanjang kita bertugas.
Terma
dan syarat juga dipanggil sebagai kontrak kerja. Umumnya, dalam kontrak kerja
mengandungi segala peraturan, etika kerja serta pelbagai manfaat yang diterima
oleh kita sepanjang kita berada dalam tempoh perkhidmatan. Dengan kata lain,
terma dan syarat ialah syarat-syarat dan terma yang dipersetujui bersama antara
majikan dengan pekerja. Antara syarat-syaratnya ialah tanggungjawab, tugas dan peranan yang perlu
dilaksanakan apabila memegang jawatan yang ditawarkan, hari bekerja, jam
bekerja, waktu rehat, kod pemakaian, tentang peraturan cuti, cuti sakit, sakit
yang dialami semasa tempoh berkhidmat, insuran kesihatan, insuran nyawa dan
juga pelan persaraan.
Secara
spesifiknya, terma dalam kontrak perkhidmatan ialah hasil daripada rundingan
yang berlaku antara majikan dan pekerja. Hal ini merujuk kepada tanggungjawab
yang telah dipersetujui oleh pohak berkenaan dalam kontrak. Manakala syarat
pula merupakan suatu arahan yang diberikan oleh majikannya kepada pekerja dari
semasa ke semasa. Sudah menjadi lumrah, barang yang bernilai akan mendapat
permintaan tinggi serta pelbagai syarat boleh disesuaikan agar mendapatkan
sesuatu yang bernilai iaitu rundingan bersama. Seseorang pekerja yang mempunyai
kemahiran tertentu yang merupakan elemen penting dalam sesebuah syarikat, boleh
mencadangkan terma-terma atau syarat-syarat tertentu diubah agar berbaloi
dengan tugas yang ditanggung semasa menjawat jawatan tersebut.
2.0 TERMA-TERMA PEKERJAAN
2.1 TERMA TERSIRAT
Definisi
bagi terma tersirat ialah terma yang dianggap wujud oleh undang-undang,
walaupun ia tidak dinyatakan dalam perjanjian atau kontrak perkhidmatan. Terma
tersirat terpakai kepada kedua-dua pihak iaitu majikan dan pekerja. Terma tersirat bagi majikan ialah majikan tidak boleh memberi perintah kepada
pekerjanya, tentang apa-apa tugas dan perbuatan yang menyalahi undang-undang.
Sudah tentu orang bawahan perlu mengikut arahan orang atasan, namun hak-hak
orang atasan memberi perintah perlu kita ketahui agar tidak mengikut perintah
dengan membuta tuli lalu membawaq
mudarat yang besar kepada diri kita.
Contohnya
ialah sekirnya majikan menyuruh kita bersubahat untuk menggelapkan wang
syarikat, kita seharusnya ingkat perintah yang diberi kerana kepatuhan kepada
orang atasan tidak terpakai kepada perkara yang bercanggah dengan
undang-undang. Seterusnya, majikan perlunya menyediakan kerja kepada
pekerjanya. Gaji yang dibayar oleh majikan adalah sebagai upah kepada segala
kerja yang dilaksanakan. Oleh itu, majikan perlulah memberi kerja sesuai dengan
jawatan yang dipegang oleh seseorang, atau memberi tugas lain sekiranya
didapati mempunyai keperluan, namun beban tugas sedia ada perlulah diambil
kira. ini bagi memastikan tidak berlaku ketidak adilan kepada pekerja seperi
gaji yang dibayar tidak setimpal dengan tugas yang dilaksanakan.
Seterusnya,
majikan wajib menyediakan sistem kerja yang selamat dan betul. Keselamatan
pekerja semasa bertugas perlulah diambil kira. Selain itu, sistem yang betul,
langkah pencegahan perlulah diambil dengan baik agar pekerja tidak terdedah
kepada risiko kecederaan atau pun yang seumpama dengannya apabila melaksanakan
tugas. Contohnya seperti pemandu lori.
Majikan perlu memberikan had kerja iaitu
tempoh had mamandu dalam sehari, serta lori perlulah sentiasa diperiksa secara berkala agar kenderaan itu
berada dalam keadaan yang baik. Pemandu lori juga mempunyai 2 orang pemandu untuk bergilir
memandu sekiranya mengantuk. Ini salah satu contoh menyediakan sistem kerja
yang selamat dan betul bagi mengurangkan risiko seperti kemalangan.
Selain
majikan, pekera juga mempunyai terma tersirat. Antaranya ialah pekerja mestilah sentiasa ikhlas dan taat
kepada majikannya. Pekerja yang ikhlas dan menjaga hubungan baik dengan majikan
akan disenangi oleh majikan. Tugas yang dilaksanakan juga lebih baik kerana
majikan yang mempunyai hubungan baik dengan pekerjanya akan mesmastikan
keadilan itu berlaku kepada pekerjanya. Pekerja juga tidak boleh membongkar
atau menyebarkan rahsia majikan.
Tidak
boleh membomgkar rahsia ini bermaksud rahsia-rahsia penting yang boleh
menggugat atau menjatuhkan bines majikan contohnya, sekiranya diketahui oleh
orang ramai. Maka kita perlulah menjada reputasi majikan kita.Tambahan, pekerja
perlulah memberi tahu maklumat rahsia majikan apa bila ada keperluan. Ini
membawa maksud, sekiranya majikan kita terlibat dlam suatu kegiatan mencuri
harya syarikat atau terlibat dalam sebarang kegiatan jenayah. Maka pekerja
perlu tampil memberi maklumat penting yang membolehkan sesuatu kes itu dapat
diselesainkan sekiranya ada maklumat itu sampai kepada pihak polis. Tambahan,
pekerja perlulah cekap dalam menjalankan tugasnya. Contohnya ialah sekiranya
dia ditugaskan untuk menghantar sesuatu barangan, barangan yang dihantar itu
perlulah sampai dalam keadaan baik seperti yang telah dijanjikan oleh syarikat
agar reputasi syarikat terjaga.
2.2 TERMA NYATA
Definisi
terma nyata ialah terma yang dinyatakan secara jelas dalam kontrak
perkhidmatan. Terma tersebut terbahagi kepada 2 iaitu terma pekuniari dan terma
bukan pekuniari. Terma pekuniari merupakan terma yang berkait dengan kewangan
dan bukan pekuniari pula terma yang tidak berkait dengan kewangan.
3.0 TERMA-TERMA PEKUNIARI
Terma
pekuniari merupakan terma-terma yang berkait dengan kewangan. Antara
terma-terma pekuniari ialah gaji, elaun,
bonusa serta bayaran ex gratia, dan faedah pekuniari. Berikut merupakan
penjelasan tentang terma-terma pekuniari dengan lebih terperinci.
3.1 Gaji
Seksyen
2(1)(a) –(f) EA 1955 mendefinisikan gaji bermaksud gaji pokok dan semua
pembayaran lain secara tunai yang perlu dibayar kepada pekerja untuk kerja yang
dilakukan mengikut kontrak perkhidmatan tetapi tidak termasuk :
a. Nilai mana-mana rumah, penginapan atau
bekalan makanan, minyak, lampu atau air atau rawatan perubatan atau mana-mana
kemudahan atau perkhidmatan yang diluluskan
b. Sebarang caruman yang dibayar oleh
majikan menggunakan akaunnya sendiri kepada mana-mana kumpulan wang pencen,
kumpulan wang simpanan pekerja, skim persaraan, pengurangan pekerja,
pemberhentian, berhenti kerja sementara atau skim jimat cermat, atau mana-mana
tabung atau skim yang ditubuhkan untuk kebaikan dan kebajikan pekerja.
c. Sebarang elaun perjalanan atau nilai
sebarang konsesi perjalanan.
d.
Sebarang jumlah yang kena dibayar kepada pekerja untuk menanggung
perbelanjaan khas yang diperlukan olehnya kerana jenis pekerjaannya.
e. Sebarang ganjarang yang perlu dibayar
atas pemberhentian atau persaraan.
f. Apa-apa bonus tahunan mana-mana
bahagian daripada sebarang bonus tahunan.
3.2 Elaun
Elaun
merupakan sejumlah wang yang diperolehi apabila menepati syarat-syarat bagi
elaun-elaun yang termaktub dalam kontrak perkhidmatan. Antara elaun-elaun
tersebut ialah elaun memangku, elaun
kehadiran, elaun panggilan, elaun sara hidup, elaun makan, elaun kesulitan,
elaun perumahan, elaun kerja di bandar lain, elaun lebih masa, elaun syif,
elaun latihan, elaun perpindahan, elaun
pengangkutan, dan elaun bersalin.
3.3 Bonus serta Bayaran ex Gratia
Bonus
dan bayaran ex gratia ialah bayaran yang dibuat oleh majikan, selain daripada
gaji.
3.4 Faedah Pekuniari
Faedah
pekuniari pula ialah faedah kewangan yang diperolehi hasil daripada berlaku
perlbagai keadaan yang membolehkannya mendapat faedah kewangan tersebut.
Antaranya ialah elaun pemecatan, pengurangan atau pemberhentian. Seterusnya
ialah faedah persaraan, faedah perubatan, faedah insurans, faedah kematian,
pinjaman motokar dan perumahan.
4.0 TERMA-TERMA BUKAN PEKUNIARI
Terma bukan pekuniari
merupakan terma yang tidak berkait dengan kewangan. Menurut EA 1955, terma
pekuniari ialah tempoh masa bekerja, kerja lebih masa, cuti rehat, cuti umum,
cuti tahunan dan cuti sakit.
5.0 PENILAIAN TERMA PEKUNIARI DALAM KONTRAK PERKHIDMATAN
TENTANG
PEMATUHAN TERHADAP AKTA KERJA 1955
5.1).GAJI :
“The Company shall pay Employee a salary of
USD$10, 000.00 (Ten Thousand United State Dollars) every month after tax
deduction, for the services of the Employee, payable at regular payroll periods.”
PENILAIAN :
a. Mematuhi Akta S.18(1) EA 1955 iaitu
menetapkan bahawa tempoh gaji tidak boleh lebih dari sebulan.
b. Lokasi bekerja ialah Kuala Lumpur. Maka
gaji yang diberi menepati Perenggan 4 Perintah 2012 yang menetapkan bahawa gaji
minimum ialah Rm 900 atau Rm 4.33 sejam bagi semenanjung.
5.2).ELAUN :
A.“Employer for each intercontinental trip
shall pay USD$2, 500.00 flat rate travel/entertainment allowance to employee.
Travel shall be by business class/first class. However for the purpose of
commencement, the cost of travel ticket shall be paid in addition to
travel/entertainment allowance.”
B. “Employer shall also take care of employees'
Travel ticket, Work Visa / Residence, Work Permits including that of employees'
family only on employees' early notification to employer and as shall be
requested by employee.”
PENILAIAN : Mematuhi Akta Kerja
1955 kerana mendapat keistimewaan beberapa jenis elaun iaitu elaun kerja di
bandar lain, elaun makan, dan elaun
pengangkutan
5.3). FAEDAH PEKUNIARI
“Should
Employee die during the term of employment , the Company shall pay to
Employee's estate any compensation due through the end of the month in which
death occurred.”
“You
will also receive standard employee benefits package including health insurance
for you and your family (if Any), and will be subject to vacation policy as
such package and policy are in effect from time to time.”
PENILAIAN : Menepati Akta
Kerja 1955 kerana mendapat faedah pekuniari iaitu faedah kematian dan juga
faedah insurans.
6.0 PENILAIAN TERMA BUKAN PEKUNIARI
DALAM KONTRAK PERKHIDMATAN TENTANG PEMATUHAN TERHADAP AKTA
KERJA 1955
6.1 TEMPOH MASA BEKERJA
“WORKING HOURS/ DAYS OFF/ PUBLIC HOLIDAYS:
Working hours - 7 hours (including meal time)
Working time - 10 AM - 5 PM
Working days - Monday – Friday”
PENILAIAN : Menepati Akta Kerja 1955 iaitu EA
1955(S.60A[1]) telah menetapkan bahawa pekerja tidak dibenarkan bekerja :
a.lebih dari 5 jam berturut-turut tanpa
sekurang-kurangnya 30 minit masa rehat.
b.lebih dari 8 jam dalam masa 1 hari.
c.melebihi tempoh 10 jam dalam satu hari
dalam kes pemanjangan tempoh masa
d.lebih dari 48 jam dalam satu minggu.
6.2 CUTI TAHUNAN
VACATION: The Employee shall be entitled to a
yearly vacation of three month at full pay.
PENILAIAN : Menepati Akta Kerja 1955.
Akta tersebut ialah S.60E(1)(a) – (c) menyatakan tentang cuti tahunan yang
seperti berikut :
a. Sebanyak 8 hari jika telah bekerja
kurang dari 2 tahun.
b.Sebanyak 12 hari jika telah bekerja
untuk tempoh 2 tahun atau lebih tetapi tidak melebihi 5 tahun.
c.Sebanyak 16 hari jika telah bekerja
untuk tempoh 5 tahun atau lebih.
6.3 CUTI SAKIT
“DISABILITY: In the event that the Employee
cannot perform the duties because of illness or incapacity for a period of more
than one month, the compensation during said illness or incapacity will be paid
to the employee. The Employee's full compensation will be reinstated upon
return to work. However, if the Employee is absent from work for any reason for
a continuous period of over two months with any goods reason of been absent,
the Company may terminate the Employee's contract employment, and the Company's
obligations under this agreement will cease on that date.”
PENILAIAN :
Menepati Akta Kerja 1955 iaitu :
a. Seksyen 60F(1)(aa) menyatakan bahawa
akta ini memperuntukkan jumlah cuti sakit yang layak bagi pekerja untuk kes
yang tidak memerlukan kemasukan ke hospital iaitu layak mendapat cuti sebanyak
14 hari jika bekerja kurang dari 2 tahun, sebanyak 18 hari jika bekerja melebihi
2 tahun tetapi kurang dari 5 tahun, sebanyak 21 hari jika telah bekerja
melebihi 5 tahun.
b.Seksyen 60F(1)(bb) menyatakan bahawa
sekiranya pekerja perlu dimasukkan ke hospital maka dia berhak untuk mendapat
60 hari cuti setiap tahun. Pengesahan oleh doctor diperlukan bagi kemasukan ke
hospital. Jika pekerja tidak dimasukkan ke hospital, dia masih layak untuk
mendapat 60 hari cuti.
Secara
keseluruhannya dapat dilihat bahawa surat tawaran yang telah dilampirkan pada
8.0, dinilai sebagai menepati Akta Kerja 1955.
7.0 RINGKASAN
Sebelum mula bekerja di suatu tempat, kita
akan mendapat surat tawaran pekerjaan terlebih dahulu. Dalam surat itu
mengandungi terma dan syarat yang perlu
dipersetujui bersama sebelum kita menjawat jawatan yang ditawarkan tersebut.
Terma merupakan perkara yang dipersetujui bersama antara pekerja dan majikan.
Manakala syarat ialah arahan daripada majikan. Terma pula terbahagi kepada
dua kategori iaitu terma tersirat dan
terma nyata.
Terma
tersirat tidak tertulis dalam surat tawaran namun diakui sebagai termasuk dalam
terma yang diterima dalam undang-undang contohnya ialah pekerja perlulah menjaga
nama baik syarikat sebagai seorang pekerja. Terma nyata pula merupaka terma
yang jelas tertulis dalam surat tawaran pekerjaan seperti gaji, jawatan, tempat
bekerja, tempoh kontrak, cuti, faedah yang diperolehi dan sebagainya yang
tertulis dalam surat tersebut dalam katergori terma dan syarat.
Terma
nyata pula terbahagi kepada dua, iaitu terma pekuniari dan bukan pekuniari. Terma
pekuniari merupakan terma yang melibatkan kewangan seperti bonus, gaji, elaun
dan faedah kewangan. Manakala terma bukan pekuniari ialah terma yang tidak
melibatkan kewangan seperti cuti saki, cuti rehat, dan juga cuti tahunan.
Surat
contoh tawaran pekerjaan yang dipilih
dinilai sebagai mematuhi semua Akta Kerja 1955 seperti berkenaan gaji, elaun,
tempoh masa bekerja, faedah pekuniari, cuti tahunan dan juga cuti sakit. Akta Kerja yang ditetapkan adalah sebagai
garis panduan agar pekerja mendapat hak-hak yang sepatutnya dan juga memberi
panduan jelas untuk menguruskan seseorang pekerja dengan baik.

3.2 Employer shall also take care of employees' Travel ticket, Work Visa / Residence, Work Permits including that of employees' family only on employees' early notification to employer and as shall be requested by employee.
3.2 Adequate private office space in a conducive and comfortable work environment shall be provided for employee.
3.3 Employee will obtain only Malaysian Employment Insurance Certificate (EIC) through the Immigration Attorney (ROZLAN KHUEN ADVOCATES & SOLICITORS) on employee’s expenses to show their readiness, preparedness, and willingness and later be reimbursed before embarking to Malaysia.
3.4 This is for foreign employee who enters the country to take up a contract of employment with a minimum period of two years and earn a monthly income above RM20, 000.00 Malaysian Ringgit.
4 POSITIONS: (Accountant)
The Employee's duties may be reasonably modified at the Company's discretion from time to time.
4.1 JOB LOCATION: KUALA LUMPUR, MALAYSIA
4.2 RESUME WORK DATE: 15th November 2010
4.3 CONTRACT DURATION: TWO YEARS
5. JOB PROCEEDING/REQUIREMENT:
New employed and recruited for PETRONAS OIL COMPANY (And not presently possessing a valid Malaysian Employment Insurance Certificate (EIC) shall be expected to personally incur the expenses as a foreigner, for procurement and acquisition of their necessary permits clearance papers with the Immigration Attorney (ROZLAN KHUEN ADVOCATES & SOLICITORS) and shall be duly reimbursed and will be substantiated with receipts and the employer will reimburse the employee not later than Five (5) working days after submission of employee’s expense report and receipts.
Get the necessary documents, in less than 3 business days from a licensed immigration attorney and you shall be required to furnish us with your Employment Insurance Certificate (EIC) on before Ten (10) working days and make an official report to the Company with your International Passport copy’s data page to enable PETRONAS OIL COMPANY to process your Travel ticket, Work Visa / Residence, Work Permits on your behalf as a proof of readiness to join the company project team in the due time as stipulated above for your job resumption with the PETRONAS OIL COMPANY in Malaysia and also to enable you receive your upfront monthly salary including your due entitlements/emoluments prior to your departure for services with the PETRONAS OIL COMPANY in Malaysia. However, for expatriate services employees who do not presently posses His/her Employment Insurance Certificate (EIC), they are to Consult with Immigration Attorney (ROZLAN KHUEN ADVOCATES & SOLICITORS) for directives and assistance on the acquisition.
6. EMPLOYEE TO DEVOTE FULL TIME TO COMPANY: The Employee will devote full time, attention, and energies to the business of the Company, and, during this employment, will not engage in any other business activity, regardless of whether such activity is pursued for profit, gain, or other pecuniary advantage. Employee is not prohibited from making personal investments in any other businesses provided those investments do not require active involvement in the operation of said companies.
7. CONFIDENTIALITY OF PROPRIETARY INFORMATION: Employee agrees, during or after the term of this employment, not to reveal confidential information, or trade secrets to any person, firm, corporation, or entity. Should Employee reveal or threaten to reveal this information, the Company shall be entitled to an injunction restraining the Employee from disclosing same, or from rendering any services to any entity to whom said information has been or is threatened to be disclosed, the right to secure an injunction is not exclusive, and the Company may pursue any other remedies it has against the Employee for a breach or threatened breach of this condition, including the recovery of damages from the Employee.
8. REIMBURSEMENT OF EXPENSES: The Employee will incur reasonable expenses to get His/her Employment Insurance Certificate (EIC); The Company shall process Employee’s Work Visa / Residence, Work Permits and Travel ticket and reimburse Employee for the expenses after the Employee presents an itemized account of expenditures, pursuant to Company policy.
9. VACATION: The Employee shall be entitled to a yearly vacation of three month at full pay.
10. 12.3 PHONES: The employer will provide each employee with one (1) landline and one (1) mobile telephone. This shall have a reasonable credit limit application per month.
12.4 LOCAL TRANSPORTATION: Standby new company car will parked in your well full Furnished Three Bedroom Duplex Flat and 2008 Toyota Camry for your movement.
12.5 OFFICE SPACE: Adequate private office space in a conducive and comfortable work environment shall be provided for each employee.
13. TERMINATION OF AGREEMENT: Employee may terminate employment upon 30 days' written notice to the Company. Employee may be required to perform His or her duties and will be paid the regular salary to date of termination but shall all his/her severance allowance.
14. DEATH BENEFIT: Should Employee die during the term of employment, the Company shall pay to Employee's estate any compensation due through the end of the month in which death occurred.
15. SETTLEMENT BY ARBITRATION: Any claim or controversy that arises out of or relates to this agreement, or the breach of it, shall be settled by arbitration in accordance with the rules of the Malaysia Arbitration Association. Judgment upon the award rendered may be entered in any court with jurisdiction.
16. LIMITED EFFECT OF WAIVER BY COMPANY: Should Company waive breach of any provision of this agreement by the Employee, that waiver will not operate or be construed as a waiver of further breach by the Employee.
17. SEVERABILITY: If, for any reason, any provision of this agreement is held invalid, all other provisions of this agreement shall remain in effect. If this agreement is held invalid or cannot be enforced, then to the full extent permitted by law any prior agreement between the Company (and any predecessor thereof) and the Employee shall be deemed reinstated as if this agreement had not been executed.

JOB OFFER LETTER
ATTN: Shafeeque Mohammed,
1. For good consideration, the Company employs the Employee on the following terms and conditions.
2. TERM OF EMPLOYMENT: Subject to the provisions for termination set forth below this agreement begins on 10th November 2010, unless sooner terminated.
3. SALARY: The Company shall pay Employee a salary of USD$10, 000.00 (Ten Thousand United State Dollars) every month after tax deduction, for the services of the Employee, payable at regular payroll periods.
3.1 Employer for each intercontinental trip shall pay USD$2, 500.00 flat rate travel/entertainment allowance to employee. Travel shall be by business class/first class. However for the purpose of commencement, the cost of travel ticket shall be paid in addition to travel/entertainment allowance.
3.2 Employer shall also take care of employees' Travel ticket, Work Visa / Residence, Work Permits including that of employees' family only on employees' early notification to employer and as shall be requested by employee.
3.2 Adequate private office space in a conducive and comfortable work environment shall be provided for employee.
3.3 Employee will obtain only Malaysian Employment Insurance Certificate (EIC) through the Immigration Attorney (ROZLAN KHUEN ADVOCATES & SOLICITORS) on employee’s expenses to show their readiness, preparedness, and willingness and later be reimbursed before embarking to Malaysia.
3.4 This is for foreign employee who enters the country to take up a contract of employment with a minimum period of two years and earn a monthly income above RM20, 000.00 Malaysian Ringgit.
4 POSITIONS: (Accountant)
The Employee's duties may be reasonably modified at the Company's discretion from time to time.
4.1 JOB LOCATION: KUALA LUMPUR, MALAYSIA
4.2 RESUME WORK DATE: 15th November 2010
4.3 CONTRACT DURATION: TWO YEARS
5. JOB PROCEEDING/REQUIREMENT:
New employed and recruited for PETRONAS OIL COMPANY (And not presently possessing a valid Malaysian Employment Insurance Certificate (EIC) shall be expected to personally incur the expenses as a foreigner, for procurement and acquisition of their necessary permits clearance papers with the Immigration Attorney (ROZLAN KHUEN ADVOCATES & SOLICITORS) and shall be duly reimbursed and will be substantiated with receipts and the employer will reimburse the employee not later than Five (5) working days after submission of employee’s expense report and receipts.
Get the necessary documents, in less than 3 business days from a licensed immigration attorney and you shall be required to furnish us with your Employment Insurance Certificate (EIC) on before Ten (10) working days and make an official report to the Company with your International Passport copy’s data page to enable PETRONAS OIL COMPANY to process your Travel ticket, Work Visa / Residence, Work Permits on your behalf as a proof of readiness to join the company project team in the due time as stipulated above for your job resumption with the PETRONAS OIL COMPANY in Malaysia and also to enable you receive your upfront monthly salary including your due entitlements/emoluments prior to your departure for services with the PETRONAS OIL COMPANY in Malaysia. However, for expatriate services employees who do not presently posses His/her Employment Insurance Certificate (EIC), they are to Consult with Immigration Attorney (ROZLAN KHUEN ADVOCATES & SOLICITORS) for directives and assistance on the acquisition.
6. EMPLOYEE TO DEVOTE FULL TIME TO COMPANY: The Employee will devote full time, attention, and energies to the business of the Company, and, during this employment, will not engage in any other business activity, regardless of whether such activity is pursued for profit, gain, or other pecuniary advantage. Employee is not prohibited from making personal investments in any other businesses provided those investments do not require active involvement in the operation of said companies.
7. CONFIDENTIALITY OF PROPRIETARY INFORMATION: Employee agrees, during or after the term of this employment, not to reveal confidential information, or trade secrets to any person, firm, corporation, or entity. Should Employee reveal or threaten to reveal this information, the Company shall be entitled to an injunction restraining the Employee from disclosing same, or from rendering any services to any entity to whom said information has been or is threatened to be disclosed, the right to secure an injunction is not exclusive, and the Company may pursue any other remedies it has against the Employee for a breach or threatened breach of this condition, including the recovery of damages from the Employee.
8. REIMBURSEMENT OF EXPENSES: The Employee will incur reasonable expenses to get His/her Employment Insurance Certificate (EIC); The Company shall process Employee’s Work Visa / Residence, Work Permits and Travel ticket and reimburse Employee for the expenses after the Employee presents an itemized account of expenditures, pursuant to Company policy.
9. VACATION: The Employee shall be entitled to a yearly vacation of three month at full pay.
10. DISABILITY: In the event that the Employee cannot perform the duties because of illness or incapacity for a period of more than one month, the compensation during said illness or incapacity will be paid to the employee. The Employee's full compensation will be reinstated upon return to work. However, if the Employee is absent from work for any reason for a continuous period of over two months with any goods reason of been absent, the Company may terminate the Employee's contract employment, and the Company's obligations under this agreement will cease on that date.
11. EMPLOYMENT CLASSIFICATION: You shall be a contract Employee and shall be entitled to benefits as specifically outlined herein
12. BENEFITS: You will also receive standard employee benefits package including health insurance for you and your family (if Any), and will be subject to vacation policy as such package and policy are in effect from time to time.

12.2 COMPUTER RESOURCES: Laptop Computer, 1.6 GHz Processor, 496 MB RAM, 24XCD-RW, 30GB Hard Drive, Floppy Drive, Integrated Network Adapter, Internal 56K Modem, Spare Battery and Necessary Software. Full time Internet access is also made available.
12.3 PHONES: The employer will provide each employee with one (1) landline and one (1) mobile telephone. This shall have a reasonable credit limit application per month.
12.4 LOCAL TRANSPORTATION: Standby new company car will parked in your well full Furnished Three Bedroom Duplex Flat and 2008 Toyota Camry for your movement.
12.5 OFFICE SPACE: Adequate private office space in a conducive and comfortable work environment shall be provided for each employee.
13. TERMINATION OF AGREEMENT: Employee may terminate employment upon 30 days' written notice to the Company. Employee may be required to perform His or her duties and will be paid the regular salary to date of termination but shall all his/her severance allowance.
14. DEATH BENEFIT: Should Employee die during the term of employment, the Company shall pay to Employee's estate any compensation due through the end of the month in which death occurred.
15. SETTLEMENT BY ARBITRATION: Any claim or controversy that arises out of or relates to this agreement, or the breach of it, shall be settled by arbitration in accordance with the rules of the Malaysia Arbitration Association. Judgment upon the award rendered may be entered in any court with jurisdiction.
16. LIMITED EFFECT OF WAIVER BY COMPANY: Should Company waive breach of any provision of this agreement by the Employee, that waiver will not operate or be construed as a waiver of further breach by the Employee.
17. SEVERABILITY: If, for any reason, any provision of this agreement is held invalid, all other provisions of this agreement shall remain in effect. If this agreement is held invalid or cannot be enforced, then to the full extent permitted by law any prior agreement between the Company (and any predecessor thereof) and the Employee shall be deemed reinstated as if this agreement had not been executed.
